BONITAS GLOBAL / GOVERNANCE & ENGAGEMENT TERMS

Governance & engagement terms

Independent international trade advisory & physical commodities intermediary

Legal identity & intermediary capacity

Bonitas Global, registration number 12826/2020, operates as an independent international trade advisory and physical commodities intermediary. Physical address: Block C, Suite C6, 187 Baines Avenue, Harare. Unless evidenced in a specific written mandate, Bonitas Global does not claim title to cargo, refinery ownership, exclusive allocation or authority to bind another party.

Sanctions & trade restrictions

Proposed transactions are subject to risk-based review of counterparties, beneficial ownership and control, product origin, vessels, loading and discharge ports, banks, payment routes and end use. Relevant OFAC and EU sanctions and other applicable restrictions must be considered according to jurisdiction and transaction nexus. List screening alone is insufficient. Bonitas Global reserves the right to decline, suspend or end discussions where prohibited activity, evasion or unresolved sanctions risk is identified. References to sourcing regions do not represent approval of every origin or route within them.

AML / KYC & authority

Corporate registration, CIS, beneficial ownership, signatory authority, mandate and source-of-funds documentation may be required. Records and bank communications must be independently verifiable through trusted channels. Anonymous principals, unverifiable authority and requests to conceal beneficial ownership or payment beneficiaries are unacceptable. Submission of documents does not amount to KYC approval.

Independent inspection & reassessment

Quality, quantity, origin, cargo documents and inspection reports remain subject to independent verification. Each principal should retain the right to appoint an independent surveyor and seek reassessment or reinspection where a discrepancy arises. Access, sampling, laboratory methods, tolerances, outturn reconciliation, costs and dispute-resolution procedures must be expressly documented in the SPA.

Non-binding offers & pricing

Website material, benchmark references, introductions and indicative discussions are non-binding. Only a duly authorised written offer or signed agreement defines product specification, quantity, availability, price formula, assessment code, averaging period, differential, delivery basis, named port or terminal, validity and payment terms. No general promise of discount, credit, bank instrument acceptance, performance bond or allocation is made.

Confidentiality & fees

NCNDA / IMFPA or equivalent agreements are negotiated between the relevant parties. They do not substitute for due diligence or create obligations for parties that have not validly agreed them. Intermediary commissions must be transparent to the contractual payer and documented with lawful beneficiaries, a calculation basis and express settlement triggers.

Data & document handling

Contact information and inquiry details are used to assess and respond to the inquiry. No identity or banking documents should be entered as plain text in the public form. Encrypt supporting records to the PGP public key published on our document page and verify the fingerprint directly before sending sensitive material. TLS protects transport; PGP protects encrypted document content. Neither mechanism verifies a counterparty’s commercial authority.

These engagement parameters are published for commercial transparency. They do not certify regulatory status, completion of any review, or the legal enforceability of a future transaction. Specific legal, banking and inspection requirements are governed by the applicable documents and law.
